User-Generated Content and Ownership

To the fullest extent permitted by applicable law, you own the content ("Assets") you generate using the Services, subject to the terms of this Agreement. This includes data outputs, design visualizations, text, and other material created by you through EcoCircuitAI"s platform.

Exceptions and Limitations:

You remain solely responsible for any content, prompts, or media ("Inputs") you upload or submit to the platform, and you must have all necessary rights and permissions to use such Inputs.
Your ownership of generated Assets does not extend to background, reference, or illustrative content presented on the platform (e.g., Midjourney or DALL"E samples, Sherwood proprietary diagrams, etc.), which are protected works and remain the property of their respective creators, including Sherwood Design Engineers, Yuxin Yang, or Adam Mekies.
Assets derived from third-party services, APIs, or datasets may carry their own licensing restrictions. You are responsible for complying with such third-party terms.

License Granted to EcoCircuitAI

By using our Services, you grant EcoCircuitAI and its affiliates a perpetual, worldwide, non-exclusive, royalty-free, license to reproduce, distribute, publicly display, analyze, and create derivative works of your Inputs and generated Assets solely for the purposes of improving our services, training our systems, marketing, and research and development. This license survives termination of your account or this Agreement.

Usage Rights and Restrictions

Subject to your compliance with these Legal Terms and the "Prohibited Activities" section:

You are granted a non-exclusive, non-transferable, revocable license to access and use the Services;
You may download or print generated Assets for personal, internal business, or non-commercial use, provided:

Credit to EcoCircuitAI is maintained on all printed materials,
A visible hyperlink to EcoCircuitAI.com is included for all digital reproductions.

Any breach of these intellectual property rights will be considered a material breach of these Legal Terms and may result in immediate termination of your right to use the Services.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

All registration information you provide will be true, accurate, current, and complete.
You will update such information as necessary.
You have the legal capacity to comply with these Legal Terms.
You are not a minor in your jurisdiction.
You will not access the Services using automated or non-human means.
You will not use the Services for any illegal or unauthorized purpose.
Your use of the Services will not violate any applicable law or regulation.

If any information provided is untrue or incomplete, we reserve the right to suspend or terminate your account.

4. USER REGISTRATION

7. USER GENERATED CONTRIBUTIONS

Your Responsibilities
When you post Contributions, you grant us a license to use, reproduce, distribute, and display your Contributions in connection with the Services. Editing and Removal
We reserve the right to edit, remove, or relocate any Contributions at our discretion without notice.

8. CONTRIBUTION LICENSE

We are not liable for any statements in your Contributions and are not obligated to monitor them.

15. DISPUTE RESOLUTION

Informal Negotiations
Before initiating arbitration, the Parties agree to attempt to resolve any dispute informally for at least thirty (30) days upon written notice. Notice must be sent in writing and will be deemed received upon confirmed delivery.

Binding Arbitration
If informal negotiations fail, all disputes, controversies, or claims arising out of or relating to these Terms or the Services (except those expressly excluded below) shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, and if applicable, the AAA Consumer Arbitration Rules. Arbitration will take place in New York, United States, unless the Parties mutually agree to conduct the proceedings remotely (e.g., by phone or online), or in another location.

By agreeing to arbitration, both Parties waive the right to a jury trial and agree not to pursue any claims in court, except as set forth in the Exceptions below.

Restrictions
Arbitration is limited to disputes between the Parties individually. Class actions or representative claims are not allowed.

Exceptions
Certain disputes (e.g., those involving intellectual property rights, theft, piracy, privacy, or claims for injunctive relief) are excluded from these arbitration provisions. If any part of this Dispute Resolution section is found to be invalid or unenforceable, that portion shall be severed, and the remainder shall remain in full force and effect.

16. CORRECTIONS

There may be errors or omissions in the information on the Services. We reserve the right to correct these errors and update the information at any time without prior notice.

17. DISCLAIMER

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES) ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Notwithstanding any other provision, our total liability shall be limited to the lesser of the amount you paid (if any) during the six (6) month period prior to the claim or $5,000.00 USD.
